These Terms of Service ("Terms") govern your use of the VDAM digital asset management platform operated by VDAM LLC ("VDAM," "we," "us," or "our") at vdam.io. By creating an account or using the Service, you agree to these Terms.
01The Service
VDAM is a cloud-based digital asset management platform that connects to your existing cloud storage (Google Drive, Dropbox) and provides AI-powered search, organization, and metadata generation for your files. VDAM accesses your files in read-only mode and does not modify your cloud storage.
02Accounts
- You must provide a valid email address to create an account
- You are responsible for maintaining the security of your account
- You must be at least 13 years old to use the Service
- Each workspace requires a separate subscription if on a paid tier
- You must not use the Service for any illegal purpose
03Cloud Storage Connections
- You authorize VDAM to access the cloud storage folders you connect through OAuth
- You may disconnect providers at any time through workspace settings or by revoking access in your Google/Dropbox account
- VDAM is not responsible for the availability or integrity of files in third-party cloud storage
- You retain all ownership rights to your files — VDAM claims no intellectual property rights over your content
04AI Processing
- VDAM uses third-party AI and computer vision services to generate metadata, captions, tags, and search embeddings
- AI-generated metadata is provided "as is" and may contain inaccuracies
- Your files are sent to AI providers solely for processing and are not used to train generalized AI models
- AI processing consumes credits according to your subscription plan
05Subscriptions & Payment
Plans & Billing.
VDAM offers a free trial and paid subscription tiers (Basic, Plus, Pro) with varying feature limits. Trial accounts are limited to 14 days and subject to feature restrictions. Paid subscriptions are billed monthly or annually. All prices are displayed and charged in U.S. Dollars (USD).
Merchant of Record.
Lemon Squeezy Inc. acts as the Merchant of Record for all purchases of VDAM subscriptions. Your receipts and invoices are issued by Lemon Squeezy. Lemon Squeezy handles payment processing, tax calculation, tax remittance, and regional compliance on our behalf.
Automatic Renewal.
Your paid subscription automatically renews at the end of each billing period (monthly or annually) using the payment method on file, at the then-current rate for your tier, until you cancel. You may cancel at any time through the customer portal or by contacting support@vdam.io. Cancellation takes effect at the end of your current billing period unless otherwise specified.
Taxes.
Prices displayed on our website do not include applicable taxes. Sales tax, VAT, GST, and other applicable taxes are calculated and collected by Lemon Squeezy based on your location at the time of purchase, as required by law.
Plan Changes.
You may upgrade, downgrade, or change your billing period at any time. Upgrades take effect immediately with appropriate billing adjustments. Downgrades take effect at the end of your current billing period. We do not offer prorated refunds for partial billing periods.
Usage Limits.
Each tier has specific limits (number of assets, connectors, AI credits, and other features). When you reach a limit, further usage of the affected feature is blocked until you delete existing assets, upgrade to a higher tier, or (for renewable allowances such as AI credits) your monthly reset occurs. Existing assets and data remain accessible when you are at or over a limit.
Refunds.
All sales are final except as required by applicable law. We do not offer prorated refunds for mid-period cancellations. Refund requests within 14 days of your first purchase may be granted at our discretion — contact support@vdam.io. For residents of the European Union, United Kingdom, and other jurisdictions with statutory cooling-off rights for digital services: by beginning to use the Service immediately upon purchase, you expressly request immediate performance of the contract and acknowledge that you thereby waive any statutory right of withdrawal that may otherwise apply to digital services.
Chargebacks.
If you initiate a chargeback or payment dispute with your bank or card issuer without first contacting us to resolve the issue, we reserve the right to immediately suspend your account pending resolution. Please contact support@vdam.io with any billing concerns before disputing a charge.
Price Changes.
We reserve the right to change pricing for new subscriptions at any time. Existing subscribers will receive at least 30 days notice by email before any price change takes effect on their subscription.
07Acceptable Use
You agree not to:
- Upload, index, or share content that is illegal, infringing, or violates third-party rights
- Attempt to gain unauthorized access to the Service or other users' data
- Use the Service to store or distribute malware
- Reverse engineer, decompile, or disassemble any part of the Service
- Circumvent usage limits, rate limits, or tier restrictions
- Use automated means to access the Service beyond normal usage
- Resell or redistribute the Service without written permission
08Privacy
Your use of the Service is governed by our Privacy Policy, which describes how we collect, use, and protect your information.
09Intellectual Property
- VDAM and its associated trademarks, logos, and branding are the property of VDAM LLC
- You retain all rights to your files and content
- AI-generated metadata derived from your files is provided as part of the Service and may be used by you without restriction
10Service Availability
- We strive to maintain high availability but do not guarantee uninterrupted access
- We may modify, suspend, or discontinue features with reasonable notice
- We will provide at least 30 days notice before discontinuing the Service, during which you may export your data
11Limitation of Liability
- The Service is provided "as is" without warranties of any kind
- VDAM is not liable for indirect, incidental, or consequential damages
- Total liability shall not exceed the amount you paid us in the 12 months preceding any claim
- VDAM is not responsible for loss of or damage to files in your cloud storage
12Termination & Expired Subscriptions
- You may terminate your account at any time by contacting support
- We may terminate or suspend accounts for violation of these Terms
- Upon termination, your data is handled per our Privacy Policy
Expired Subscriptions.
When a paid subscription expires without renewal, your workspace is moved to an expired state: cloud storage connectors are disabled, syncing stops, and your workspace data is moved to archival storage. During the retention window described in our Privacy Policy, reactivating your subscription restores access. After the retention period, archived data is permanently deleted.
13Changes to These Terms
We may update these Terms and will notify you of material changes via email or prominent notice at least 14 days before they take effect. Continued use constitutes acceptance.
14Governing Law
These Terms are governed by the laws of the State of New York, without regard to conflict of law principles. Any disputes arising out of or relating to these Terms or the Service shall be resolved in the state or federal courts located in New York County, New York, and you consent to the jurisdiction of those courts.
